# Glimmer Terms of Service

## 1. Agreement

These Terms of Service are between you and MARQUE & CROWN INC., an Ontario company. By creating an account, logging in, checking the legal acknowledgement box, accessing Glimmer, or using any Glimmer feature, you agree to these Terms, the Glimmer Privacy Policy, and the Glimmer Consent Notice for the active policy version.

If you use Glimmer for another person, company, brand, creator, client, or organization, you confirm that you have authority to accept these Terms and upload or process content on their behalf.

## 2. Service Description

Glimmer provides social-post planning, AI-assisted image generation, caption drafting, reusable workflows, subject profiles, inspiration templates, saved works, publishing advice, and related account features.

Glimmer is post-first: image generation is one module inside a broader workflow for creating publishable social content. Glimmer does not publish to third-party social platforms for you unless a feature expressly says so.

## 3. Eligibility And Accounts

You must be legally able to agree to these Terms and old enough to provide meaningful consent, or have parent or guardian consent where required. You must provide accurate account information, keep your login access secure, and promptly tell us about suspected unauthorized access.

We may require email verification, invite codes, test codes, quota checks, or other access controls before allowing certain features.

## 4. Legal Acknowledgement And Consent Records

Some features require you to check a legal acknowledgement box. When you do, Glimmer may record the policy version, locale, timestamp, account identifier, session identifier, and related audit metadata needed to prove consent, protect the service, and comply with legal obligations.

If the legal policy version changes materially, we may ask you to review and accept the updated documents before continuing.

## 5. Your Content

You keep your rights in photos, image references, prompts, captions, profile text, workflows, templates, feedback, and other content you submit to Glimmer. You are responsible for making sure you have the rights, permissions, and consents needed to upload, process, generate from, save, publish, or share your content.

You grant Glimmer a limited, worldwide, non-exclusive, royalty-free permission to host, store, process, transmit, display, transform, generate outputs from, and otherwise use your content only as needed to provide, protect, maintain, improve, and support Glimmer and to comply with law.

## 6. Glimmer Image Engine And OpenAI Generation References

Glimmer Image Engine is Glimmer's product-layer name for the image generation workflow inside Glimmer. It connects to OpenAI API image generation and editing capabilities, including GPT Image models. When you start a generation workflow, Glimmer sends the selected prompt, selected images, and relevant workflow parameters to OpenAI as generation reference input for the request you initiated.

Selected images may include travel photos, scene materials, selfies, or subject reference photos. Glimmer does not use face recognition to identify people, does not create a biometric template, faceprint, face embedding, facial geometry profile, or face-recognition database, and does not sell face data.

OpenAI may process information under its own terms, policies, and data controls. Glimmer cannot promise that OpenAI has no temporary processing, security review, abuse monitoring, application-state retention, or legally required retention.

Before prompt-based image generation or reference-asset generation proceeds, Glimmer may rely on provider safety systems, product rules, local blocklists, manual review, account-level enforcement, and reporting workflows. OpenAI provider safety controls are an additional layer and do not replace Glimmer's own content policy enforcement.

## 7. Generated Images And Output Review

Generated images, captions, titles, hashtags, posting advice, and other outputs are AI-assisted. They may be inaccurate, unsuitable, offensive, legally risky, or similar to outputs generated for other users.

You are responsible for reviewing all outputs before saving, publishing, sharing, advertising, selling, or otherwise using them. Your review should include likeness, consent, privacy, publicity rights, intellectual property, trademark use, platform rules, advertising disclosures, local law, and brand safety.

## 8. Other People's Images And Publicity Rights

Do not upload another person's image, a child's image, a client asset, a private location, confidential material, or third-party intellectual property unless you have the rights and consent needed to use it for AI-assisted generation and any intended publication.

You are responsible for obtaining releases, model permissions, location permissions, brand permissions, and other clearances where needed.

## 9. Public Templates And Shared Workflows

If you submit a workflow, template, prompt structure, caption style, example, or other material for public sharing, you permit Glimmer to review, moderate, sanitize, display, distribute, and allow reuse of the public fields in Glimmer.

Do not submit private photos, confidential information, personal data, private prompts, trade secrets, or content you cannot share. We may remove, edit, reject, or restrict public templates for quality, safety, legal, operational, or product reasons.

## 10. Prohibited Uses

You may not use Glimmer to harass, deceive, impersonate, defame, exploit, threaten, discriminate, create non-consensual intimate imagery, sexualize minors, violate privacy or publicity rights, infringe intellectual property, evade platform rules, violate law, manipulate security controls, overload the API, reverse engineer the service, scrape protected content, or upload content you are not allowed to use.

NSFW, adult, pornographic, sexually explicit, or sexually suggestive content is prohibited. You may not request, generate, edit, upload, publish, share, or attempt to bypass filters for adult sexual content, nudity-focused content, non-consensual sexual content, sexual services, fetish content, or any sexual content involving minors.

You may not use Glimmer to create misleading identity documents, biometric identification tools, surveillance databases, deceptive political content, illegal advertisements, malware, spam, or other harmful material.

## 11. Payments, Sparks, Quotas, And Trials

Some features may require Glimmer Sparks, payment, subscription, invite-code access, or test-code unlock. Glimmer uses Sparks for paid image generation: eligible generation requests consume the stated number of Sparks before or during generation, and failed provider calls may return Sparks where the product flow says so. Current public pricing uses a variable Sparks model based on output quality, output count, and uploaded or reference input images. High-quality 4K generation currently starts at 100 Glimmer Sparks per output image before additions for the actual provider input images sent for that output; product flows may accept up to 9 uploads plus face/body/outfit references, while billing currently caps provider input images at 7 per output. Profile-reference asset packages may have separate posted Spark prices. Generation may consume quota, Sparks, or limits when submitted, even if the result is not exactly what you expected, unless the app or applicable law provides otherwise.

Prices, quotas, trials, and feature availability may change. Public pricing may show USD as the primary price and regional prices such as CAD or HKD where available; the checkout page controls the final currency, taxes, and payment method. Subscription plans, where offered, may be monthly, quarterly, or yearly; each successful subscription payment grants the full Sparks posted for that billing cycle, usable until the next renewal while the plan remains active. Refunds, if any, will be handled under the posted purchase terms, payment-provider rules, and applicable law.

## 12. Service Availability And Beta Features

Glimmer may change, suspend, rate-limit, or discontinue features at any time. Some features may be experimental, invite-only, in testing, or dependent on providers such as OpenAI, hosting, storage, email, payment, and safety systems.

We do not guarantee uninterrupted service, specific generation quality, a particular style match, viral performance, social-platform approval, or that every output will be usable for your intended purpose.

## 13. Third-Party Services And Platforms

Glimmer relies on service providers for functions such as OpenAI image generation, hosting, storage, email, security, analytics if enabled, and payments. These providers may have their own terms, acceptable-use rules, privacy practices, data controls, outages, limits, and fees.

Glimmer Image Engine is not affiliated with, endorsed by, sponsored by, approved by, or officially operated by OpenAI. OpenAI names are used only to identify the API integration and provider rules.

Social platforms or marketplaces where you publish content are outside Glimmer's control. You are responsible for following their rules.

## 14. Intellectual Property

Glimmer, including its software, interface, brand, designs, workflows, non-user templates, documentation, and underlying systems, belongs to MARQUE & CROWN INC. or its licensors. Except for rights expressly granted to you, no rights are transferred.

You may use Glimmer outputs subject to these Terms, the rights you have in your inputs, provider rules, applicable law, and any separate product or payment terms. Similar or identical outputs may be generated for other users.

## 15. Feedback

If you send feedback, ideas, bug reports, feature requests, or suggestions, you allow Glimmer to use them without restriction or compensation, while respecting personal information under the Privacy Policy.

## 16. Moderation And Enforcement

We may review, block, remove, refuse, or restrict content, templates, accounts, generation requests, or outputs when we believe they create legal, safety, provider-policy, operational, abuse, payment, or product risk.

We may suspend or terminate access if you violate these Terms, create risk, misuse the service, fail to pay amounts due, violate provider policies, or harm Glimmer, users, providers, or third parties.

## 17. Termination

You may stop using Glimmer at any time. Termination does not automatically delete all records. Some records may remain where required for security, billing, tax, legal compliance, dispute resolution, abuse prevention, backups, or audit purposes.

## 18. Disclaimers

Glimmer is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted availability, accuracy, and error-free operation.

No advice, output, caption, image, workflow, or recommendation from Glimmer is legal, financial, advertising, platform-compliance, medical, or professional advice.

## 19. Limitation Of Liability

To the maximum extent permitted by law, MARQUE & CROWN INC. and its directors, officers, employees, contractors, providers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, loss of data, loss of goodwill, platform penalties, business interruption, or third-party claims arising from your use of Glimmer.

Where liability cannot be excluded, our liability is limited to the maximum extent permitted by applicable law.

## 20. Indemnity

You agree to defend, indemnify, and hold harmless MARQUE & CROWN INC. from claims, damages, losses, liabilities, costs, and expenses arising from your content, your outputs, your publication or sharing of content, your violation of these Terms, your misuse of Glimmer, or your violation of law or third-party rights.

## 21. Governing Law

These Terms are governed by the laws of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law rules. Courts located in Ontario will have jurisdiction unless applicable consumer law requires otherwise.

## 22. Changes To These Terms

We may update these Terms as Glimmer changes or legal requirements evolve. Material updates may be shown in the app, by email, or through another reasonable notice. Continued use after updated Terms take effect means you accept the updated Terms where permitted by law.
